Terms of Service

These Terms of Service (the “Terms”) form a binding agreement between you and STRATEGIZEX LTD, a company registered in England and Wales under company number 16886619, with its registered office at Suite G04, 1 Quality Court, Chancery Lane, London, England, WC2A 1HR, United Kingdom (“Archer”, “we”, “us”, or “our”), and govern your access to and use of the Archer platform, website, and related services (together, the “Service”). By creating an account, accessing, or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Service.

1.Who may use the Service

You must be at least 18 years old and legally able to enter into a contract to use the Service. If you use the Service on behalf of a company or other organisation, you represent that you are authorised to bind that entity to these Terms, and “you” refers to that entity.

2.What Archer is — and what it is not

Archer is an online tool that uses artificial intelligence to help founders explore, structure, and develop business ideas. It provides evaluations, suggestions, guided templates, learning content, and an AI assistant.

Archer provides general information and educational tools only. It does not provide legal, financial, tax, investment, accounting, or other professional advice, and nothing produced by the Service should be relied upon as such.

All decisions you make based on the Service are your own responsibility. Before acting on any output, you should seek advice from a qualified professional where appropriate. Archer does not guarantee any particular business, commercial, financial, or other outcome.

3.Your account

You must provide accurate information when creating your account and keep it up to date. You are responsible for safeguarding your login credentials and for all activity that occurs under your account. You must notify us promptly at menelle@strategize-x.com if you suspect any unauthorised use. You may not share your account, sell it, or let others use it, except for collaborators you validly invite through the Service.

4.Plans, payments, and renewals

Some features are free; others require a paid subscription. Prices are displayed on the Service and are stated exclusive of any applicable taxes, which will be added where required.

Payments are processed by our payment provider, Stripe. By subscribing, you authorise us (through Stripe) to charge your payment method on a recurring basis according to your chosen plan, until you cancel.

Paid subscriptions renew automatically for successive periods unless you cancel before the end of the current period. You can cancel at any time from your workspace settings; cancellation takes effect at the end of the period already paid for.

Except where required by applicable law (including any statutory withdrawal or refund rights available to consumers) or under our satisfaction guarantee below, payments are non-refundable and partial periods are not refunded. We may change our prices; changes will apply to renewals following reasonable notice.

Satisfaction guarantee. We stand behind the Service. If you complete the full seven-step journey in your workspace — genuinely working through and submitting each step — and you honestly do not feel Archer delivered on its core promise of helping you turn your idea into a structured plan toward your first customers, you may request a refund of the amount you paid for that plan. To qualify: (a) you must have completed all seven steps; (b) you must request the refund by email to menelle@strategize-x.com within 14 days of completing the final step; and (c) the guarantee applies once per customer and does not cover renewals taken after a refund. We may review your workspace to confirm the steps were genuinely completed. This guarantee is offered in addition to, and does not limit, any refund rights you have under applicable law.

5.Acceptable use

You agree not to: (a) use the Service for any unlawful, harmful, fraudulent, or infringing purpose; (b) attempt to gain unauthorised access to the Service, other accounts, or our systems; (c) copy, scrape, reverse-engineer, resell, or create derivative products from the Service or its underlying models; (d) disable, bypass, or interfere with security, paywall, or access-control features; (e) upload malicious code or overload the Service; or (f) submit content that is illegal, defamatory, infringes third-party rights, or contains others’ personal data without a lawful basis.

6.Your content and your ideas

You keep all rights you have in the ideas, text, and materials you submit to the Service (“Your Content”). Archer does not claim ownership of your business ideas.

You grant us a limited, worldwide, non-exclusive, royalty-free licence to host, store, process, and display Your Content solely to operate, secure, and improve the Service for you and to provide the features you use (including sending relevant parts to the AI and search providers described in our Privacy Policy). This licence ends when you delete Your Content or close your account, except for backups retained for a limited period and anything we must keep by law.

You are solely responsible for Your Content and confirm you have the rights necessary to submit it.

7.Artificial intelligence — important notice

Outputs generated by the Service are produced by automated AI systems and may be inaccurate, incomplete, outdated, or unsuitable for your situation.

AI outputs are probabilistic, not verified facts. Different users may receive different results for similar inputs. You must independently review and verify any output before relying on it, and you remain fully responsible for how you use it. Market data and competitor information may be drawn from third-party web sources and is provided without any warranty of accuracy or completeness.

8.Our intellectual property

The Service, including its software, design, text, methodology, templates, and branding (“Archer”, “StrategizeX”, logos), is owned by us or our licensors and is protected by intellectual-property laws. Except for the rights expressly granted to you to use the Service under these Terms, no rights are transferred to you. You may use outputs generated for you for your own business purposes, but you may not present the Service’s underlying methodology or templates as your own product.

9.Third-party services

The Service relies on third-party providers (for example, hosting, database, payment, AI, and search providers) and may link to third-party websites. We are not responsible for third-party services or content, and your use of them may be subject to their own terms and privacy policies.

10.Disclaimers

To the fullest extent permitted by law, the Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or that any output will be accurate or lead to any result. Nothing in these Terms excludes or limits any warranty or right that cannot lawfully be excluded, including consumer rights.

11.Limitation of liability

To the fullest extent permitted by law, Archer, its founders, employees, and providers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, business, or opportunity, arising out of or relating to your use of (or inability to use) the Service, even if we have been advised of the possibility of such damages.

To the fullest extent permitted by law, our total aggregate liability arising out of or relating to the Service or these Terms will not exceed the greater of (a) the total amount you paid us for the Service in the twelve (12) months before the event giving rise to the claim, or (b) fifty euros (€50).

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you; nothing here limits liability for fraud, gross negligence, death or personal injury caused by negligence, or any liability that cannot be limited by law.

12.Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Archer and its founders, employees, and providers from any claims, damages, losses, and reasonable costs (including legal fees) arising out of your breach of these Terms, your misuse of the Service, or Your Content.

13.Suspension and termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access, with or without notice, if you breach these Terms, if required by law, or to protect the Service or other users. On termination, your right to use the Service ends; sections that by their nature should survive (including ownership, disclaimers, limitation of liability, and indemnification) will survive.

14.Changes to the Service and these Terms

We may modify the Service or these Terms from time to time. If we make material changes to these Terms, we will provide reasonable notice (for example, by email or through the Service). Your continued use after the changes take effect constitutes acceptance. If you do not agree, you must stop using the Service.

15.Governing law and disputes

These Terms are governed by the laws of England and Wales, without regard to conflict-of-law rules. Any dispute relating to the Service or these Terms will be subject to the exclusive jurisdiction of the courts of England and Wales, unless mandatory law (including the consumer-protection law of your country of residence) gives you the right to bring proceedings, or requires proceedings to be brought against you, elsewhere.
